NDA: Buyer and Seller side sign a Non-Disclosure Agreement (NDA). SCO  Seller issues a Soft Corporate Offer (SCO) outlining basic terms and incoterms. ICPO:  Buyer issues an Irrevocable Corporate Purchase Order (ICPO) addressed to the Seller Refinery, along with: Company profile Vessel Charter Party Agreement (CPA) Buyer passport copy Stamp & Signature on each page SPA:  Seller issues a Draft Sales & Purchase Agreement (SPA), open for amendments. Once both parties sign and seal the contract, copies are exchanged electronically. Contract Registration:  Seller registers and legalizes the contract with appropriate authorities to secure approval for Transfer of Ownership Title/Allocation in the buyer's company name at the seller's expense. POP Documents: Seller provides a notarized and insured copy of the legalized contract along with Partial Proof of Product (POP) documents: Certificate of Origin Statement of Product Availability Product Quality Passport Refinery Guarantee to Supply Letter Refinery Legalized Draft Contract Freight Cost Invoice:  Buyer requests an invoice from their nominated Shipping and Logistics company for the chartered freight cost, to be equally shared between Buyer and Seller. Freight Payment: Seller and Buyer make the agreed payments for the chartered freight cost to ensure logistics availability and port authorization. Seller's portion of the freight cost will be deducted from the total product payment at the discharge port after final CIQ/SGS testing. POP & Shipping Documents:  Seller releases copies of the following documents to the Buyer: Charter Party Agreement for product transport Shipping Schedule Document Product Analysis Report Certificate of Origin Bill of Lading Tank Receipt Vessel QM8 Certificate of Product Payment : Buyer's bank issues an Irrevocable Documentary Letter of Credit (IRDLC) for the full value of the first month's shipment.
